Terms of Sale (CGV) & Legal Notice

1. Legal Notice (Company Identity)

The seller is Rafis Batimat (SARL, Togo). The company's full identity (RCCM trade register number, tax ID, registered office, contact details), site hosting, and other mandatory legal notices are detailed on our Legal Notice page.

2. Purpose of the Terms of Sale

These Terms of Sale (CGV) govern all sales of products and services made by Rafis Batimat, a hardware store and construction materials supplier, to its customers, whether in-store, by order, or on-site. They apply to both business and individual customers. Full and unreserved acceptance of these Terms of Sale is required for every order.

3. Applicable legal framework

These Terms of Sale take into account, in particular, the following provisions:

• The OHADA Uniform Act on General Commercial Law (AUDCG).
• Togolese legislation applicable to competition and consumer protection (e.g. Law No. 99-011 of December 28, 1999).
• Tax obligations arising from the Togolese General Tax Code.

4. Products

Rafis Batimat sells hardware items, tools, construction materials and various accessories. Descriptions (photos, dimensions, specifications) are indicative. Offers are subject to actual stock availability.

5. Prices

Prices are expressed in CFA Francs (XOF) and are inclusive of all taxes unless stated otherwise. Rafis Batimat reserves the right to change its prices at any time. The price invoiced is the one in effect at the time payment is actually made.

6. Order

Orders may be placed in-store, by phone, by email, or based on an accepted quote. An order becomes firm once Rafis Batimat has confirmed it in writing or explicitly accepted it. Rafis Batimat reserves the right to refuse or cancel any order for a legitimate reason (prior non-payment, fraudulent behavior, incomplete information, etc.).

7. Payment

Accepted payment methods: cash, Mobile Money, bank transfer, check (if accepted). Unless otherwise agreed in writing, payment is due in full at the time of order or delivery.

7.1 Retention of title

Delivered goods remain the exclusive property of Rafis Batimat until full payment of all sums due, principal and incidental costs included. In the absence of full payment, Rafis Batimat reserves the right to repossess the goods and demand their return, at the customer's expense and risk.

7.2 Late payment

In the event of late payment, Rafis Batimat may automatically apply late-payment interest as a matter of right. Unless mandatory provisions state otherwise, interest may be calculated at a rate equivalent to 10% of the amount due per month of delay. In addition, any discounts granted may be revoked and any collection costs will be borne by the customer.

8. Delivery

Methods: in-store pickup, home delivery, or on-site delivery (paid service). Communicated timeframes are indicative only. Rafis Batimat cannot be held liable for delays due to force majeure, a supplier stock shortage, or logistical constraints.

The customer must ensure the delivery location is accessible. If access is impossible due to the customer, additional costs for travel, storage, or redelivery will be charged to the customer.

9. Receipt and inspection of products

The customer must check the condition and conformity of products upon delivery. Any complaint regarding visible damage, missing items, or non-conformity must be raised immediately and confirmed in writing within a maximum of 48 hours, with supporting evidence (photographs, description). After this period, products will be deemed conforming and accepted.

10. Returns and exchanges

Returns are only accepted if products are returned in their original condition, unused, unassembled, and in their original packaging, within 72 hours of purchase, unless otherwise agreed. Excluded from returns: products cut or made to order, consumables (paints, solvents, adhesives), electrical equipment (except hidden defects), and products on sale (unless required by law). Return shipping costs are borne by the customer, unless otherwise agreed.

11. Warranty

Products carry the manufacturer's warranty where applicable. Rafis Batimat does not grant its own commercial warranty, except by explicit written agreement. The warranty does not cover defects resulting from improper installation, misuse, insufficient maintenance, normal wear and tear, or modifications made by a third party. The purchase invoice is required for any warranty claim.

12. Conformity of goods

In accordance with the applicable provisions of the AUDCG (OHADA Uniform Act on General Commercial Law), Rafis Batimat undertakes to deliver products conforming to the agreed specifications. In the event of proven non-conformity reported under the conditions set out above (see Article 9), Rafis Batimat will, at its discretion, replace the product, repair it, or partially or fully refund the price paid.

13. Liability

Rafis Batimat's liability is limited to the obligations expressly set out in these Terms of Sale and by applicable law. Rafis Batimat cannot be held liable for indirect or intangible damages, operating losses, loss of profit, or commercial harm resulting from the purchase or use of the products. Any liability claim must primarily seek replacement or refund in accordance with Article 12.

14. Force majeure

Rafis Batimat cannot be held liable for the non-performance or delayed performance of its obligations if these result from a case of force majeure as defined by applicable case law and legislation (natural disasters, armed conflict, general or local strikes, embargoes, transport disruption, restrictive administrative measures, pandemics, supply disruptions, etc.). Should such an event occur, obligations may be suspended or the order cancelled without compensation.

15. Price revision

If, after the order is placed, a substantial change occurs in supply costs (raw material prices, transport costs, customs duties, exchange rates), Rafis Batimat reserves the right to revise the price accordingly. Any revision will be notified to the customer and, unless otherwise required by law, may be subject to acceptance by the customer or renegotiation.

16. Limitation Period

In accordance with the OHADA Uniform Act applicable to commercial acts, any action based on this contract is time-barred after five (5) years from the day the right holder knew, or should have known, the facts enabling them to act.

17. Consumer protection

Rafis Batimat undertakes to provide clear and fair information on the essential characteristics of the products, prices, and payment, delivery, return, and warranty terms. Rafis Batimat complies with the legal obligations regarding invoicing and price transparency set out by Togolese legislation.

18. Personal data

Information collected is used to manage orders, invoicing, and after-sales service. Data is stored securely. In accordance with applicable law, customers have the right to access, rectify, and delete their data; this right may be exercised by contacting Rafis Batimat at the email address indicated above. 19. Intellectual property

All content (text, images, logos, catalogs) provided by Rafis Batimat remains its exclusive property. Any unauthorized reproduction or use is prohibited.

20. Taxation

Rafis Batimat complies with the tax obligations in force in Togo. Legal notices and invoicing comply with the requirements of the General Tax Code. Displayed prices are inclusive of all taxes unless expressly stated otherwise. The company reserves the right to require deposits and to apply retention of title until payment is actually made.

21. Dispute resolution

These Terms of Sale are governed by Togolese law and by the OHADA Uniform Act where applicable. In the event of a dispute, the parties agree to first attempt an amicable settlement. Failing agreement, exclusive jurisdiction is granted to the competent courts of the district where Rafis Batimat's registered office is located.

22. Acceptance of the Terms of Sale

By placing an order, signing a quote, or making a payment, the customer expressly and unreservedly accepts these Terms of Sale and the Legal Notice.
